TERMS AND CONDITIONS

1. Acceptance of Terms

By engaging Intelligent Software for AI Corp. ("IS4.AI," "we," "us," or "our") for services or products, you ("Client," "you") agree to these Terms and Conditions. The Client explicitly waives its own standard terms and conditions, even if drawn up after these terms. Any derogation must be expressly agreed to in advance in writing.

2. Services Provided

IS4.AI provides AI consulting services, technology previews, custom software development, and related professional services as specified in individual Statements of Work (SOW) or service agreements.

3. Payment Terms

Our invoices are payable within 5 days of the invoice date, unless another payment timeframe is indicated on the invoice or order.

Late Payment: In the event of non-payment by the due date, IS4.AI reserves the right to request interest at 1.5% per month (18% annually) on the sum remaining due. IS4.AI is authorized to suspend any provision of services without prior warning in the event of late payment.

Collections: If payment is still outstanding more than sixty (60) days after the due payment date, IS4.AI reserves the right to engage debt recovery services. All legal expenses and collection costs will be payable by the Client.

4. Taxes and Withholding

Certain countries apply withholding at source on invoiced amounts, in accordance with their internal legislation. Any withholding at source will be paid by the Client to the appropriate tax authorities. Under no circumstances can IS4.AI become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to IS4.AI in its entirety and does not include any costs relating to the legislation of the country in which the Client is located.

5. Service Delivery and Warranties

IS4.AI undertakes to provide professional services in accordance with agreed timeframes and specifications. However, none of our obligations can be considered as an obligation to achieve specific results.

AI Solutions Disclaimer: AI systems generate outputs based on training data and algorithms. Results may vary, and Client is responsible for validating AI outputs for their specific use case. IS4.AI does not guarantee specific business outcomes, accuracy rates, or performance metrics unless explicitly specified in a SOW.

6. Intellectual Property

Pre-existing IP: IS4.AI retains all rights to pre-existing code, frameworks, tools, and methodologies.

Deliverables: Upon full payment, Client receives a license to use delivered custom solutions for Client's internal business purposes. IS4.AI retains ownership of the underlying code and reusable components.

Client Data: Client retains all rights to data and information provided to IS4.AI.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information and use such information solely for the purpose of the engagement. This obligation survives termination of services.

8. Limitation of Liability

IS4.AI cannot, under any circumstances, be required by the Client to appear as a third party in any claim for damages filed against the Client by an end consumer or third party.

To the maximum extent permitted by law, IS4.AI's total liability shall not exceed the fees paid by Client for the specific services giving rise to the claim. IS4.AI is not liable for indirect, incidental, consequential, or special damages, including lost profits or business interruption.

9. Claims and Disputes

In order for any claim to be admissible, IS4.AI must be notified by means of a letter sent by recorded delivery to our registered office within thirty (30) days of the delivery of the goods or provision of the services.

10. Governing Law

All contractual relations will be governed exclusively by the laws of the State of Wyoming, United States. Any disputes shall be resolved in the courts of Wyoming.

12. Modifications

IS4.AI reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a new effective date. Continued use of our services constitutes acceptance of the modified Terms.
